SENSORHUBB TERMS OF USE

Welcome to SensorHubb. These Terms of Use ("Terms") govern your access to and use of the website located at www.sensorhubb.com (the "Website") and any related services, software, applications, or platforms provided by SensorHubb, LLC ("SensorHubb," "we," "us," or "our"). By accessing or using the Website or Services, you agree to be bound by these Terms.

PLEASE READ THESE TERMS CAREFULLY. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE WEBSITE OR SERVICES.

Note: If there is a conflict between these Terms of Use and/or our Privacy Policy and a separate Customer Agreement to which you have agreed, the Customer Agreement will take precedence with respect to the subject matter of such agreement.

 

1. ACCEPTANCE OF TERMS 

By accessing, browsing, or using the Website or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. DESCRIPTION OF SERVICES; USE OF WEBSITE 

SensorHubb provides an environmental monitoring platform that enables real-time monitoring, alerting, and compliance reporting for temperature, humidity, and other environmental conditions (the "Services"). The Services may include web-based dashboards, mobile applications, sensor integrations, automated alerts, reporting tools, and related functionalities. SensorHubb reserves the right to modify, suspend, or discontinue any aspect of the Services at any time. You are responsible for both making all arrangements necessary for you to have access to the Website and ensuring that all persons who access the Website through your internet connection are aware of these Terms and comply with them in connection with the provision of Services.

3. ACCOUNT REGISTRATION AND SECURITY 

To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify SensorHubb immediately of any unauthorized use of your account or any other breach of security.

4. PROHIBITED CONDUCT 

You agree not to: 

(a) Access the Website and use the Services for any unlawful purpose or in violation of any applicable laws or regulations; 

(b) Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services; 

(c) Interfere with or disrupt the integrity or performance of the Services or use the Website in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Website, including their ability to engage in real time activities through the Website; 

(d) Use any device, software, or routine that interferes with the proper working of the Website or provision of the Services;  

(e) Transmit any viruses, malware, or other harmful code; 

(f) Use any automated means to access the Services without our express written permission;  

(g) Reverse engineer, decompile, or disassemble any aspect of the Services; or  

(h) Otherwise attempt to interfere with the proper working of the Website or SensorHubb’s ability to provide the Services.

5. INTELLECTUAL PROPERTY; TRADEMARKS 

The Services and all content, features, and functionality thereof, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, are the exclusive property of SensorHubb or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services solely for their intended purposes. You may not access or use for any commercial purposes any part of the Website or any services or materials available through the Website.  

Notwithstanding the foregoing, SensorHubb’s name, trademarks, logos, and all related names, logos, product and service names, designs, and slogans are trademarks of SensorHubb or its affiliates or licensors. You must not use such marks without the prior written permission of SensorHubb.

6. PRIVACY 

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

7. TERMINATION 

SensorHubb may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Terminations during a Customer's committed subscription term (as defined in the applicable Customer Agreement) will not relieve Customer of any payment obligations under the Customer Agreement for the remainder of the then-current term, which obligations shall become due and payable immediately upon the effective date of such termination.

8. DISCLAIMER OF WARRANTIES 

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SENSORHUBB DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. LIMITATION OF LIABILITY 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SENSORHUBB, ITS AFFILIATES, OFFICERS, DIRECTORS, MANAGERS, MEMBERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY. 

OUR CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE (EXCLUDING SERVICES PROVIDED UNDER A SEPARATE CUSTOMER AGREEMENT) SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00). FOR THE AVOIDANCE OF DOUBT, THIS THRESHOLD LIMITATION OF LIABILITY DOES NOT APPLY TO LIABILITY ARISING UNDER A SEPARATE CUSTOMER AGREEMENT, WHICH SHALL BE GOVERNED BY THE TERMS OF SUCH AGREEMENT.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless SensorHubb and its affiliates, officers, directors, managers, members, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another person or entity.

11. RELIANCE ON INFORMATION POSTED 

The information presented on or through the Website is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Website, or by anyone who may be informed of any of its contents. 

 

12. GEOGRAPHIC RESTRICTIONS 

The owner of the Website is based in the United States. We provide this Website for use only by persons located in the United States. We make no claims that the Website or any of its content is accessible or appropriate outside of the United States. Access to the Website may not be legal by certain persons or in certain countries. If you access the Website from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

13. GOVERNING LAW 

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Subject to the arbitration provisions below, you agree to submit to the exclusive jurisdiction of the state and federal courts located within the State of Delaware for the resolution of any disputes.

14. DISPUTE RESOLUTION AND ARBITRATION 

Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact SensorHubb to attempt to resolve any dispute informally. 

Binding Arbitration. If we are unable to resolve a dispute informally, any controversy or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures. The arbitrator must decide all disputes in accordance with the chosen association's rules and in accordance with the laws of the State of Delaware, excluding its choice of law rules. The arbitration shall take place in Wilmington, Delaware, unless otherwise agreed by the parties. The arbitrator's decision shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. 

Class Action Waiver. YOU AND SENSORHUBB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. 

Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

15. MODIFICATIONS TO TERMS 

SensorHubb reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on the Website with a new "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

16. GENERAL PROVISIONS 

Entire Agreement. These Terms, together with the Privacy Policy and any applicable Customer Agreement, constitute the entire agreement between you and SensorHubb regarding your use of the Services.

Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect. 

​

Waiver. The failure of SensorHubb to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Additionally, the waiver by SensorHubb of any term or condition set forth in these Terms shall not be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of SensorHubb to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or your rights hereunder without the prior written consent of SensorHubb. SensorHubb may assign its rights and obligations under these Terms without restriction.
